1. Introduction & Acceptance

Welcome to the official Indigo Prints Terms and Conditions. These terms govern all B2B transactions, custom manufacturing, branding services (including printing and embroidery), and wholesale apparel purchases conducted with Indigo Prints Zimbabwe (“we,” “us,” or “our”).

By requesting a quotation, placing a purchase order, or authorizing production with us, you (the “Client” or “Buyer”) explicitly acknowledge that you have read, understood, and agreed to be bound by these comprehensive terms of trade. Therefore, please review this document carefully before initiating any commercial transaction.

2. Quotations and Ordering

  • Validity: All written quotations deployed by Indigo Prints remain valid for exactly 14 days from the date of issue. Consequently, pricing is subject to revision after this period due to potential fluctuations in raw material or supplier costs.
  • Order Confirmation: An order is only considered finalized and scheduled for production once we receive a formal Purchase Order (PO) or written confirmation, accompanied by the stipulated deposit or full payment.
  • Artwork Approval: We require written approval (via email or WhatsApp) of all digital mockups and artwork proofs before we commence physical branding. Importantly, once the artwork is approved by the client, Indigo Prints accepts no liability for errors in spelling, layout, or color selection present in the approved proof.

3. Pricing and Payment Terms

  • Currency: All pricing is quoted in United States Dollars (USD), unless explicitly stated otherwise in the formal quotation.
  • Payment Methods: We accept secure payments via Bank Transfer (ZB Bank), EcoCash, or Point of Sale (POS) swipe machines at our Harare headquarters.
  • Deposits for Branded Goods: Because custom-branded apparel and bespoke manufactured garments are customized specifically for your organization, we mandate a minimum 60% non-refundable deposit before initiating production. The remaining balance must be settled in full prior to dispatch or upon collection.
  • Wholesale (Unbranded) Goods: Full payment is required upfront for all plain, unbranded wholesale clothing or standard PPE orders before dispatch.

4. Production and Turnaround Times

  • Standard Turnaround: Our standard production timeline for branded apparel is generally 3 to 5 business days following the receipt of the deposit and the final artwork approval.
  • Fluctuations: However, production times may vary depending on the scale of the order, complexity of the branding, and current workshop capacity. Therefore, we will always communicate a specific estimated delivery date upon order confirmation.
  • Expedited Orders: While we strive to accommodate urgent deadlines, rapid turnaround requests may incur an expedited production surcharge, which will be clearly outlined in your quote.

5. Shipping and Delivery

  • Nationwide Delivery: We deploy fast, reliable delivery across Zimbabwe. Furthermore, we provide free nationwide delivery for any printed or embroidered order exceeding $100.00.
  • Risk of Loss: The risk of loss or damage to the goods transfers to the Client immediately upon delivery to the specified address or upon hand-over to a third-party courier requested by the Client.
  • Delays: While we guarantee our production schedules, Indigo Prints cannot be held liable for delivery delays caused by external couriers, severe weather, or force majeure events outside our direct operational control.

6. Returns and Replacements

Because customized garments cannot be resold, our returns policy is strict regarding branded goods.

  • Defects and Errors: We will immediately replace or refund branded items if there is a clear manufacturing defect, or if the branding deviates significantly from the approved digital proof.
  • Notification: You must notify us of any defects or order discrepancies within 3 business days of receiving your goods.
  • For complete details on eligibility and procedures, please review our comprehensive Returns & Replacements Policy.

7. Intellectual Property

  • Client Artwork: By submitting logos, designs, or artwork for printing or embroidery, you warrant that your organization holds the necessary legal rights and permissions to reproduce those specific trademarks. Consequently, the Client agrees to indemnify Indigo Prints against any claims of intellectual property infringement arising from the reproduction of supplied artwork.
  • Archiving: We securely archive all digitized embroidery files and printing screens to facilitate your future rapid re-orders. However, these specific digitized production files remain the intellectual property of Indigo Prints.

8. Limitation of Liability

To the maximum extent permitted by Zimbabwean law, Indigo Prints shall not be held liable for any indirect, incidental, or consequential damages (including, but not limited to, lost profits or business interruption) arising out of or in connection with our products or services, even if advised of the possibility of such damages. Our total liability regarding any specific order shall strictly not exceed the total purchase price paid by the Client for that specific order.

9. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes arising from these terms or commercial transactions shall be subject to the exclusive jurisdiction of the courts located in Harare, Zimbabwe.
